In particular, a due diligence provides confidence to an investor that an asset\/equity to be purchased or acquired would produce a market related return on investment, the related risks are low or manageable and synergy and other benefits would be realised. An effective due diligence also facilitates easy access to financing for the deal.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>For buyers<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A quick growth strategy, amongst others, is to acquire another business that has a good track record, have growth potential, a lower risk profile and strong cash flows. The target should also have a strong management team. Such a target could create significant value for shareholders. The buyer could also readily access financing for the deal. However, acquisitions, disposals and arranging financing for deals are minefields to navigate.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Acquiring a business comes with many risks. Acquiring an unsuitable and wrong target could result in the destruction of value for shareholders. The risks can, however, be mitigated by following a structured and disciplined approach to acquire the target, have an appropriate acquisition strategy and policy and by making resources and time available for the acquisition project. Buyers must also use reputable external advisors if they do not have the relevant in-house expertise.<\/p>\n\n\n\n<!--more-->\n\n\n\n<p class=\"wp-block-paragraph\">A due diligence, which is more important than ever, must be conducted in order to unlock value from the deal. There is little or no margin of error in a due diligence. To bungle up a due diligence could result in hefty financial losses, destruction of value, bankruptcy and expensive and crippling litigation. The world is littered with failed acquisitions that destroyed shareholder value due to inadequate due diligence, amongst others.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Due diligence has many benefits:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>A due diligence is a risk management exercise that uncover factors that could destroy value, and assist in renegotiating the price of the deal.<\/li>\n\n\n\n<li>A due diligence enables a buyer to identify value drivers in the business.<\/li>\n\n\n\n<li>A due diligence facilitates post deal implementation.<\/li>\n\n\n\n<li>A due diligence enables the buyer to detect and take advantage of synergy benefits. Synergy benefits include revenue enhancement, cost savings, access to capital, lower cost of capital and improved capital efficiency etc.<\/li>\n\n\n\n<li>A due diligence enables the buyer to assess that the deal is not being over-paid. <\/li>\n\n\n\n<li>A due diligence ensures that the profile of the target company is in line with the buyer\u2019s acquisition strategy, policies or objectives. <\/li>\n\n\n\n<li>A due diligence helps to uncover any undisclosed information that could threaten the deal.<\/li>\n\n\n\n<li>A due diligence checks whether the target is compliant with relevant laws and regulations and there are no pending or outstanding litigations that could result in significant liabilities that could cripple the deal.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>For sellers<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">When a seller considers selling an unlisted business or an equity stake in an unlisted business, the seller must do proper planning and allocate adequate resources and time to prepare the business or equity stake for sale. A reliable and credible valuation must be carried out, as well as an adequate sell-side due diligence. These activities will enable the seller to determine the market or fair value of the business, to properly highlight the value drivers in the business, assist in attracting targeted buyers, compile and prepare relevant documentation and information for the deal, negotiate a higher price for the deal, and close the deal speedily.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For more information about the importance and benefits of valuations, click <a href=\"https:\/\/bit.ly\/3EDWGTs\" target=\"_blank\" rel=\"noreferrer noopener\">here<\/a><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Raising of funding for deals<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Most acquirers lack the necessary funding to finance deals. As a result, these buyers must raise funding from lenders or approach investors to take up a stake in the deals. To attract investors to take up a stake in a deal, a buyer must demonstrate to investors that the deal will create shareholder value, deliver market related returns on investment, inherent risk will be adequately mitigated and sufficient cash flows will be generated.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">To persuade lenders to finance the deal, a buyer must demonstrate that the deal will generate sufficient cash flows in order to timeously repay the loans and that the deal will create value for the business.
